These Terms of Service ("Terms") govern your access to and use of the website located at tracychat.com, including all tools, content, workflows, and features made available through the Site, including the AI-readiness assessment, booking and intake system, case study and marketing content, and careers application functionality (collectively, the "Site"). By accessing or using the Site in any manner, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms in their entirety, you must not access or use the Site.

TracyChat is a consulting and AI implementation practice. These Terms govern your use of the Site only and do not constitute or form part of any client engagement agreement, statement of work, or service contract. Any consulting or professional services engagement with TracyChat is governed exclusively by a separate written agreement executed between TracyChat and the applicable client.

What This Site Provides

The Site provides informational marketing content about TracyChat's services, methodologies, and prior work; an AI-readiness assessment tool that generates output based on user-submitted responses; a booking and intake workflow that allows prospective clients to schedule discovery calls; and a careers application form through which individuals may submit applications for employment consideration. Nothing on this Site constitutes legal, financial, medical, or professional advice of any kind. All assessment outputs, case studies, and related content are provided for informational purposes only. Assessment results reflect a framework applied to your self-reported inputs and are not a substitute for professional consultation, technical due diligence, or expert evaluation of any kind.

No Guarantee of Results

Case studies, client examples, project descriptions, and outcomes referenced or described on this Site represent specific prior engagements and are presented for illustrative purposes only. They do not constitute a representation, warranty, or guarantee that you or any other party will achieve similar or comparable results. TracyChat makes no guarantee, express or implied, regarding business outcomes, revenue, growth, operational improvement, hiring results, or any other performance metric that may be referenced on the Site or inferred from its content.

Your Responsibilities as a User

By using the Site, you represent and warrant that you are of legal age to enter into a binding agreement in your jurisdiction and that all information you provide through any form, tool, or submission on the Site is accurate, complete, and truthful to the best of your knowledge. You agree that you will not impersonate any person or entity, misrepresent your identity or organizational affiliation, submit content that is unlawful, harmful, threatening, harassing, defamatory, obscene, or fraudulent, or use the Site for any purpose that violates applicable local, provincial, national, or international law or regulation.

Acceptable Use

You may not use the Site to scrape, crawl, harvest, or systematically extract content, data, or personally identifiable information beyond ordinary browser-based navigation. You may not attempt to reverse engineer, decompile, disassemble, or otherwise extract source code, business logic, or underlying functionality from the Site or its components. You may not attempt to circumvent, disable, or interfere with rate limiting systems, authentication mechanisms, API access controls, or any security feature of the Site. You may not submit automated requests, bots, scripts, or otherwise generate artificial traffic directed at the Site or any of its endpoints. You may not use the Site to distribute malware, initiate denial-of-service attacks, transmit spam, or engage in any activity intended to disrupt, degrade, or compromise the integrity or performance of the Site or the systems on which it depends.

Intellectual Property

All text, branding, design, visual assets, media, code, and other content available on or through the Site is owned by or licensed to TracyChat and is protected under applicable copyright, trademark, and intellectual property laws. No content from the Site may be reproduced, republished, distributed, publicly displayed, modified, or used to create derivative works without prior written permission from TracyChat. Nothing in these Terms transfers any ownership interest in TracyChat's intellectual property to you. The ownership of deliverables produced by TracyChat for clients in the context of a paid engagement is addressed exclusively in the applicable client contract or statement of work and is not governed by these Terms.

Third-Party Services

The Site relies on a number of third-party service providers to operate, including Firebase and Google Cloud for hosting and data infrastructure, Plausible Analytics for website analytics, Google Calendar for booking event creation, Resend for transactional email delivery, and one or more AI model providers for the generation of assessment outputs. TracyChat is not responsible for the availability, performance, security practices, or data handling of any third-party service. Disruptions or outages at the vendor level may affect Site functionality and features. Each third-party provider operates under its own terms of service and privacy policy, which govern that provider's relationship with its users and customers independently of these Terms.

Booking and Communications

Submission of a booking request through the Site does not constitute a confirmed appointment. TracyChat reserves the right to accept, decline, reschedule, or cancel any booking request at its discretion and without obligation. By submitting your contact information in connection with a booking or inquiry, you consent to TracyChat contacting you by email in connection with your request, appointment, or related follow-up communications. You are responsible for providing accurate and functional contact information in order for booking communications to be delivered.

Careers Submissions

Submission of a job application through the Site does not create or imply an employment relationship, offer of employment, or contractual obligation of any kind. TracyChat may retain and review submitted application materials for recruitment evaluation purposes. You should not submit personal information beyond what is requested in the application form, and you agree not to include content in your application that is false, misleading, unlawful, or in violation of any third party's rights.

Disclaimer of Warranties

The Site and all content, tools, outputs, and features are provided on an "as is" and "as available" basis without warranty of any kind, express or implied. TracyChat expressly disclaims all warranties, including but not limited to implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. TracyChat does not warrant that the Site will be available at any particular time, operate without interruption or error, be free from security vulnerabilities or unauthorized access, or that any content, output, or result obtained through the Site will be accurate, reliable, or complete.

Limitation of Liability

To the maximum extent permitted by applicable law, TracyChat's total cumulative liability to you for any and all claims arising out of or related to your access to or use of the Site, regardless of the form of action or theory of liability, shall not exceed the greater of the total amount you paid to TracyChat in the twelve months immediately preceding the claim or one hundred Canadian dollars (CAD $100). In no event shall TracyChat be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages, including but not limited to loss of profits, loss of data, loss of business, or loss of goodwill, even if TracyChat has been advised of the possibility of such damages.

Indemnification

You agree to indemnify, defend, and hold harmless TracyChat and its affiliates, officers, employees, contractors, and agents from and against any and all claims, liabilities, damages, losses, costs, and expenses, including reasonable legal fees, arising out of or relating to your use of the Site, your breach of these Terms, or your violation of any applicable law or the rights of any third party.

Governing Law and Dispute Resolution

These Terms are governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles. Any dispute arising out of or in connection with these Terms or your use of the Site shall be subject to the exclusive jurisdiction of the courts of the Province of Ontario, Canada.

Changes to These Terms

TracyChat reserves the right to modify these Terms at any time. Changes will take effect upon posting of the updated Terms to the Site, accompanied by a revised "Last Updated" date. Your continued use of the Site following any such changes constitutes your acceptance of the revised Terms. You are encouraged to review this page periodically.
